By accessing or using TalkWise ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and others who access the Service.
TalkWise provides AI-powered voice agent software that automates outbound and inbound sales calls, lead qualification, appointment scheduling, and related communications on behalf of its customers. The Service includes the TalkWise platform, dashboard, APIs, and all related tools and documentation.
You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify TalkWise immediately of any unauthorized use.
You agree to use the Service only for lawful purposes and in compliance with all applicable laws, including telemarketing regulations (e.g., TCPA, GDPR, and local consent requirements). You shall not use the Service to make calls without proper consent, engage in harassment, transmit malicious content, or interfere with the operation of the Service. TalkWise reserves the right to suspend or terminate accounts that violate this policy.
Access to the Service is provided on a subscription basis. Fees are billed in advance on a monthly or annual cycle depending on your plan. All fees are non-refundable except as required by law. TalkWise reserves the right to change pricing with 30 days notice. Your continued use after a price change constitutes acceptance of the new pricing.
Your plan includes a set number of calling minutes per billing cycle. Usage beyond your included minutes will be billed at the overage rate specified in your plan. Unused minutes do not roll over to the next billing cycle unless your plan explicitly states otherwise.
Your use of the Service is also governed by our Privacy Policy. You retain ownership of your data. By using the Service, you grant TalkWise a limited license to process your data solely for the purpose of providing and improving the Service. TalkWise will not sell your data to third parties.
The Service, including its design, features, code, and documentation, is owned by TalkWise and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, reverse engineer, or create derivative works of the Service.
AI agents created and deployed through TalkWise act on your behalf. You are responsible for configuring your agents in compliance with applicable laws and regulations. TalkWise provides the tools, but the content of conversations, scripts, and call strategies are your responsibility.
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be considered confidential ("Confidential Information"). This includes, but is not limited to, business plans, customer data, call recordings, agent configurations, pricing, and technical infrastructure. Neither party shall disclose Confidential Information to third parties except as necessary to perform obligations under these Terms, and only to recipients bound by confidentiality obligations at least as protective as those herein. Confidential Information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.
You agree to indemnify, defend, and hold harmless TalkWise and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including telemarketing and data protection laws; or (d) any content or data you transmit through the Service. TalkWise agrees to indemnify you against claims arising from TalkWise's gross negligence or willful misconduct in providing the Service, or from TalkWise's infringement of a third party's intellectual property rights.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TALKWISE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TALKWISE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM TALKWISE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TalkWise will use commercially reasonable efforts to maintain Service availability of at least 99.9% uptime, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance. TalkWise is not liable for service interruptions caused by factors beyond our reasonable control, including but not limited to third-party provider outages, telecommunications failures, natural disasters, acts of government, or other force majeure events.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALKWISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF TALKWISE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TALKWISE'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO TALKWISE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to comply with all applicable export control and sanctions laws and regulations, including those of the United States, the European Union, and any other relevant jurisdiction. You shall not use the Service in any country or territory that is subject to comprehensive sanctions, or in violation of any export restriction or embargo. You represent that you are not listed on any government list of prohibited or restricted parties.
Either party may terminate these Terms at any time with 30 days written notice. You may cancel your account through the dashboard or by contacting support. TalkWise may suspend or terminate your access immediately if you materially violate these Terms, including non-payment, breach of acceptable use policies, or illegal activity. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination, after which TalkWise will delete your data in accordance with our Privacy Policy.
TalkWise may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use after changes take effect constitutes acceptance. If you do not agree to updated Terms, you must stop using the Service and may terminate your account.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall first be subject to good-faith negotiation for a period of 30 days. If unresolved, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.
These Terms constitute the entire agreement between you and TalkWise regarding the Service and supersede all prior agreements and understandings. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. TalkWise's failure to enforce any right or provision shall not constitute a waiver of such right or provision. You may not assign or transfer these Terms without TalkWise's prior written consent. TalkWise may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets. All notices under these Terms shall be in writing and sent to the email address associated with your account.
